Terms and Conditions
ELIGIBILITY: The Universal Ads Incrementality Fund Program (“Program”) is provided by Comcast Cable Communications Management, LLC, d/b/a Universal Ads (“UA”), and made available to select advertisers located within the fifty (50) United States and the District of Columbia that (i) currently have and employ a monthly paid advertising budget; (ii) dedicate approximately 20% or less of monthly advertising budget to connected television; (iii) engage in business year-round on a national level; (iv) have completed at least Series A funding round; and (v) are capable and in a position to commit to a monthly paid advertising spend with UA (each, an “Eligible Participant”). Void where prohibited by law. If an Eligible Participant is deemed a potential recipient of a Fund Package (defined below) and declines to proceed with an agreement between themselves and UA, any/all elements of the Fund Package offered to the applicable Eligible Participant may be rescinded. The Program is subject to all applicable federal, state, and local laws and regulations.
HOW THE PROGRAM WORKS: As part of the Program, in addition to sharing basic information about their company and advertising needs, Eligible Participants may be required to indicate the spend to which they are willing to commit on the UA platform. UA will then review the information submitted by the Eligible Participant to determine if a Fund Package will be offered to the Eligible Participant. Items that may be incorporated in a Fund Package could include, but are not limited to the following: (i) up to $50,000 in ad credits and services through UA platform; (ii) a custom incrementality study conducted for Eligible Participant by a UA measurement partner; (iii) creative production of one (1) :15 or :30 advertisement; and (iv) VIP access to UA’s TV Ads Work Summit (collectively, a “Fund Package”). For the avoidance of doubt, not all Eligible Participants who apply to participate in the Program will be offered a Fund Package, and the exact items included for those who are offered a Fund Package may vary.
Determination of an Eligible Participant’s offer to receive a Fund Package, if any, and the time in which the Fund Package is available for use by Eligible Participant will be determined by UA, in its sole discretion. Eligible Participants who are selected by UA to receive a Fund Package may be required to commit to an advertising spend prior to receiving the specified credits and services outlined by UA. UA reserves the right to suspend, require the return of, or revoke a Fund Package (or any element provided within) if an Eligible Participant’s advertising spend commitment is not fulfilled. This Program cannot be combined with any other offers or discounts that may be provided by UA. UA’s decisions are final in all matters related to this Program.
HOW TO APPLY: Eligible Participants can visit IncrementalityFund.com and follow the instructions to complete and submit the application form. As part of the application form, you will be required to answer questions regarding your business, including annual revenue and advertising spend.
NOTIFICATION & RECIPIENT CONDITIONS: Eligible Participants will be advised of their Fund Package offer, if any, prior to completing their media spend commitment. Potential recipients will be notified by mail, telephone, and/or email. Any and all federal, state, and local taxes corresponding to items received within a Fund Package, if any, are the sole responsibility of the recipient. Recipients may not substitute, assign, or transfer any portion of a Fund Package. All terms and conditions and details corresponding to a Fund Package will be in UA’s sole discretion. Non-compliance with these Terms and Conditions, UA’s inability to contact a potential recipient, or Fund Package notification is returned as undeliverable may result in such potential recipient’s disqualification, at UA’s sole discretion. Fund Package credits and services offered to an Eligible Participant, if any, may need to be redeemed prior to a specified expiration date and may also be subject to additional terms and conditions. Failure to redeem such credits and/or services by a specified expiration date or adhere to additional terms and conditions may result in such credits and/or services being void, with UA having no further obligation to such participant.
By accepting a Fund Package, recipients consent to the use of their name, image, likeness, photograph, voice, and biographical material for advertising, publicity, and promotional purposes by UA, or a party designated by UA, in any and all media now or hereafter devised, including but not limited to, any online announcements, worldwide in perpetuity, without additional compensation, notification, or permission, except where prohibited by law.
GENERAL: Eligible Participants release and hold harmless UA from any claims, actions, injury, loss, or damage of any kind, including but not limited to, personal injury or death, resulting, directly or indirectly, in whole or in part, from participating in this Program or from the acceptance, possession, or use or misuse of a Fund Package. This limitation of liability is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, or consequential damages; loss of data, income or profit; loss or damage to property; and claims of third parties. UA is not responsible for any other errors or problems of any kind, whether mechanical, human, electronic, or otherwise, relating to, or in connection with, the Program, including, without limitation, any error or problem that may occur in connection with the administration of the Program, or in any Program-related materials. UA reserves the right, in its sole discretion, to cancel or suspend part or all of this Program at any time without notice, if, in its opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Program, or if non-authorized human intervention, epidemic, pandemic, or other causes corrupt or impair the administration, security, fairness, integrity, and proper execution of the Program. UA reserves the right to disqualify Eligible Participants who violate these Terms and Conditions or interfere with this Program in any manner. To the extent any component of these Terms and Conditions conflicts with an insertion order or other document executed in connection with this program, the terms of the insertion order will control.
ARBITRATION: Except where prohibited by law, as a condition of participating in this Program, Eligible Participants agree that (i) any and all disputes and causes of action arising out of or connected with the Program or any Fund Package shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association (“AAA”) and held at the AAA regional office nearest the Eligible Participant; (ii) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (iii) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will an Eligible Participant be permitted to obtain awards for, and Eligible Participants hereby waive all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than Eligible Participant’s actual out-of-pocket expenses (i.e., costs associated with participating in the Program), and Eligible Participant further waives all rights to have damages multiplied or increased.
CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of Eligible Participants and UA in connection with the Program, shall be governed by, and construed in accordance with, the substantive laws of the State of Delaware, USA.
